DVW BUSINESS CONSULTING LLC — Effective 1 October 2026
These Terms of Service govern your access to and use of the website published at dvwconsulting.lol and any professional services supplied by DVW BUSINESS CONSULTING LLC. By visiting the website, submitting a form, or instructing us to begin work, you agree to be bound by these Terms. If you do not accept them, please do not use the website or our services.
Where a signed engagement agreement exists between our practice and your organisation, that agreement prevails over these Terms to the extent of any conflict. In all other respects these Terms continue to apply. We operate from 1402 W Ammon Way, South Jordan - 84095-2485, United States (US).
Where you accept these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation, and references to you include the organisation you represent.
The following terms carry the meanings given below throughout this document.
Headings are provided for convenience and do not affect the interpretation of any clause. The singular includes the plural and the plural includes the singular where the context permits.
The website and services are intended for professional and business use. By using them you confirm that you are at least sixteen years of age and legally capable of entering into a binding agreement.
We do not direct our services to children, and we do not knowingly contract with persons below the age of majority in their jurisdiction. If we discover that a contract has been formed contrary to this clause, we may terminate it and return any unearned fees.
Access to some parts of our work may require appropriate export permissions or the absence of sanctions restrictions. You are responsible for confirming that your use of our services complies with the laws that apply to your organisation.
We grant you a limited, revocable, non-exclusive licence to read the website and to share its public pages by ordinary linking. You may print or save pages for your own reference. This licence does not extend to any commercial exploitation of the Content.
You agree not to interfere with the operation of the website, not to attempt to gain unauthorised access to any system, and not to use automated tools to harvest content or overwhelm our infrastructure. You also agree not to misrepresent your identity or affiliation when contacting us.
We may suspend or withdraw access to the website at any time, without notice, for maintenance, security or any other reason. We do not guarantee that the website will be continuously available or free of errors.
The practice provides computer integrated systems design consultancy under six service lines: Warp Alignment Discovery, Systems Threading Roadmaps, Lease Cross Reviews, Integration Dressing Plans, Tension Audits and End-to-End Systems Commissioning. Each service is described on the services page, and the description there forms part of these Terms.
Our services are advisory and design oriented. We map, review, plan, audit and commission, but we do not assume ownership or day to day operation of a client system unless a separate written agreement expressly says otherwise.
Recommendations are based on information available at the time of the engagement. A client remains responsible for decisions it takes, and for verifying that a recommendation suits its regulatory, contractual and operational context.
We may decline to accept an engagement where a conflict of interest exists, where the work would require us to act beyond our competence, or where the client cannot provide the access needed to perform the work responsibly. Where we decline, we will explain the reason unless doing so would breach a duty owed to another party.
Nothing in the delivery of our services constitutes legal, tax or financial advice, and no deliverable should be relied upon as a substitute for specialist advice in those fields. Where an engagement touches a regulated area, we work alongside the client own advisers rather than replacing them.
Every engagement is defined by a written statement of work. That document sets out the scope, the sequence of phases, the deliverables, the acceptance criteria, the timescale, the named contacts and the commercial terms.
A statement of work takes effect when both parties sign it or when the client issues written confirmation to proceed. Where no statement of work has been signed, no engagement exists, and any preliminary discussion is treated as non-binding.
Changes to scope must be agreed in writing before the affected work begins. We will provide an estimate of the effect on timescale and fees, and we will not proceed with a change until the client confirms that estimate.
Fees are stated in the statement of work and may be expressed as a fixed price, a time and materials rate, a daily rate, or a combination of these. Unless the statement of work says otherwise, fees are exclusive of taxes, which are added where required by law.
Invoices are payable within the period stated on the invoice, and we may require a deposit or staged payments for long engagements. Where payment is overdue, we may suspend work after giving reasonable notice and may charge interest at the rate permitted by applicable law.
Travel and subsistence costs are charged at cost where an engagement requires visits, and we will agree an upper limit before any booking is made. We do not charge for time spent correcting our own errors.
Where a fixed price has been agreed, that price holds for the scope described in the statement of work. If the client requests work outside that scope, the additional effort is quoted and agreed before it is performed. We do not present a fixed price and then bill additional hours without prior written agreement.
All amounts are stated and payable in United States dollars unless the statement of work specifies another currency. Where currency conversion or bank charges apply, those costs are borne by the paying party, and we will provide the information needed to reconcile any shortfall.
A systems design engagement depends on timely access to information, people and systems. The client agrees to provide accurate context, to nominate a decision maker who can resolve questions, and to respond to requests within the timescale agreed in the statement of work.
Where delay is caused by a client dependency, we may adjust the timescale and, where the delay is substantial, charge for resources held in readiness. We will always tell the client when such a charge is approaching.
Deliverables are prepared for the client named in the statement of work and may be used by that client for its internal business purposes. Where a deliverable is intended for wider distribution, the statement of work will say so explicitly.
Unless otherwise agreed, the client receives a perpetual, non-exclusive licence to use each deliverable once the associated fees have been paid in full. The practice retains ownership of its underlying methods, templates and know how.
We are not obliged to update a deliverable after the engagement closes, though we may agree a separate support arrangement. Deliverables reflect conditions at the date of issue and may become outdated as the client estate evolves.
Where a deliverable includes a recommendation to adopt a particular architecture, sequencing or control, the client is free to accept, modify or reject it. Acceptance of a deliverable does not shift responsibility for the underlying systems, and it does not relieve the client of the duty to test changes before they reach production.
We reserve the right to retain a copy of a deliverable for our professional records, subject to the confidentiality obligations described below. Where a client requires a specific retention period, that requirement may be recorded in the statement of work.
All Content on the website, including the visual design of the warping creel motif, the written copy, the layout and the code, is owned by DVW BUSINESS CONSULTING LLC or licensed to it and is protected by applicable intellectual property law.
You may not copy, adapt, republish or redistribute the Content except as permitted in the permitted website use section. The names DVW BUSINESS CONSULTING LLC and DVW Consulting, together with associated marks, may not be used in a way that suggests endorsement or affiliation without written permission.
Client materials supplied to us during an engagement remain the property of the client. We use them only to perform the agreed work and return or delete them when the engagement ends, subject to the retention obligations described in our Privacy Policy.
If a client wishes to reuse our methodology or templates outside the engagement, that requires a separate written licence. We are generally willing to grant such a licence, because our goal is that clients can run the practice we designed without ongoing dependence on us.
Each party may receive information that the other treats as confidential. The receiving party agrees to use that information only for the purposes of the engagement and to protect it with at least the care it applies to its own confidential information.
Confidentiality obligations do not apply to information that is already public, that is lawfully received from another source, that is independently developed, or that must be disclosed by law. Where disclosure is compelled, the receiving party will give prompt notice where permitted.
These obligations survive the end of the engagement for a period of five years, and indefinitely for information that constitutes a trade secret. Client teams and our own team may be asked to sign additional confidentiality undertakings where an engagement requires it.
Our website and deliverables may reference or incorporate third party tools, libraries, documents or data. Such materials are provided under the terms imposed by their owners, and the client is responsible for obtaining any licences it needs to use them.
We are not the author of third party materials and do not warrant their accuracy, availability or fitness for purpose. Where a deliverable depends on a third party product, we will identify the dependency and describe the assumption on which the recommendation rests.
Links from our website to external destinations are provided for convenience only. Their inclusion does not imply any endorsement, and we accept no responsibility for the content found there.
We warrant that our services will be performed with the reasonable skill and care expected of a professional consultancy of comparable standing. This is the sole warranty we give in relation to the services.
To the fullest extent permitted by law, the website and all Content are provided on an as available basis without further warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that the website will be uninterrupted or error free, that defects will be corrected immediately, or that any information on the website is complete, current or suitable for your specific circumstances.
To the fullest extent permitted by law, DVW BUSINESS CONSULTING LLC will not be liable for indirect, incidental, special, consequential or punitive damages, nor for loss of profit, revenue, data, goodwill or anticipated savings, however arising and whether or not foreseeable.
Our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by the client for that engagement in the twelve months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence. Where a jurisdiction does not permit some part of this clause, that part is severed and the remainder continues in force.
The client agrees to indemnify and hold harmless DVW BUSINESS CONSULTING LLC and its team against claims, losses, liabilities and reasonable costs arising from the client breach of these Terms, from materials supplied by the client, or from the client use of a deliverable outside the scope for which it was prepared.
The practice agrees to indemnify the client against claims that our original work product infringes the intellectual property rights of a third party, provided the client notifies us promptly, allows us to control the defence, and does not settle the matter without our consent.
The indemnified party will cooperate reasonably in the defence of any claim and will take reasonable steps to mitigate its losses.
Either party may terminate an engagement for material breach that is not remedied within fourteen days of written notice. Either party may also terminate for convenience on thirty days written notice, in which case the client pays for work performed and commitments properly incurred up to the termination date.
We may suspend or terminate access to the website immediately if we reasonably believe that continued access poses a security risk, breaches these Terms, or exposes us to legal liability.
On termination, provisions that by their nature should survive, including confidentiality, intellectual property, liability limits and governing law, remain in effect. The client will return or confirm deletion of our confidential information on request.
Neither party is liable for a failure or delay in performance caused by an event beyond its reasonable control. Such events include natural disasters, epidemic disease, war, civil disturbance, industrial action, failure of public infrastructure, and actions of government.
The affected party will notify the other promptly, will use reasonable efforts to mitigate the effect, and will resume performance as soon as it is able. If the event continues for more than sixty days, either party may terminate the affected engagement without further liability.
These Terms and any engagement conducted under them are governed by the laws of the State of Utah and the applicable laws of the United States, without regard to conflict of law principles.
The parties submit to the exclusive jurisdiction of the state and federal courts located in Utah for the resolution of any dispute that is not settled through the process described below.
Should any provision of these Terms be held unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions will continue in full force.
The parties will first attempt to resolve any dispute through good faith negotiation between senior representatives. A written notice of dispute will describe the issue, the relevant background and the outcome sought.
If negotiation does not resolve the matter within thirty days, the parties will attempt mediation before a mutually acceptable mediator. Mediation costs will be shared equally unless the mediator decides otherwise.
Only after negotiation and mediation have failed may either party commence legal proceedings, except where urgent injunctive relief is required to protect intellectual property or confidential information.
We may revise these Terms from time to time to reflect changes in our practice, our services or the law. The effective date at the top of the page indicates the current version, and continued use of the website after a revision indicates acceptance of the updated Terms.
